These Terms of Service (“Terms”) govern your use of the NanoCRM Google Sheets Add-on (the “App”) and the support website nanocrmapp.com (the “Site”), provided by Greystone GRC LLC (“we,” “us,” or “our”). By installing the App or using the Site, you agree to these Terms.

1. License and Scope of Use

We grant you a non-exclusive, non-transferable, revocable license to use NanoCRM within the Google Sheets environment for your internal organizational purposes.

  • NanoCRM V1: This version is provided for small nonprofit donor management. Use is subject to a capacity limit of 250 active donor records.

  • V2 Roadmap: Upgrading to future versions may be required to remove capacity limits or access advanced features.

2. User Responsibilities (The “CPA Clause”)

NanoCRM is a tool designed to assist with data integrity and reporting, but it is not a substitute for professional accounting or legal advice.

  • Data Accuracy: You are solely responsible for the accuracy, quality, and legality of the data entered into the App.

  • Internal Controls: It is your responsibility to verify the “Summary” and “Insights” generated by the App against your primary financial records before filing tax returns or board reports.

  • Backup: While your data remains in your Google Drive, we recommend maintaining regular backups of your spreadsheets. We are not responsible for data loss caused by Google Workspace service interruptions or accidental user deletion.

3. Privacy and Data Security

Our data practices are governed by our Privacy Policy.

  • Because NanoCRM operates as a “Local-Only” tool, we do not have access to your donor data.

  • You are responsible for managing access permissions to your Google Sheet within your organization.

4. Intellectual Property

The code, logic, branding, and “Error-Killer” methodology within NanoCRM are the intellectual property of Greystone GRC LLC. You may not decompile, reverse engineer, or attempt to resell the App’s underlying script.

5. Disclaimer of Warranties (“As-Is”)

NanoCRM is provided “AS-IS” and “AS-AVAILABLE.” To the maximum extent permitted by law, Greystone GRC LLC disclaims all warranties, express or implied, including the implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the App will be error-free or that its functions will meet your specific regulatory requirements.

6. Limitation of Liability

In no event shall Greystone GRC LLC be liable for any indirect, incidental, special, or consequential damages (including loss of data or revenue) arising out of the use or inability to use the App, even if we have been advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount paid by you, if any, for the App.

7. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on nanocrmapp.com with an updated effective date. Continued use of the App after changes are posted constitutes acceptance of the new Terms.

8. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law principles.
